Job Description:
Our client is seeking a skilled and detail-oriented Legal
Administrative Assistant with experience in Corporate
Transactions and Mergers & Acquisitions. The ideal candidate will
provide comprehensive secretarial and administrative support, as
well as some paralegal assistance, to our legal team. This role
requires a proactive individual with a strong understanding of
legal procedures, particularly related to corporate filings and
compliance.
Key Responsibilities:
* Provide secretarial support, including managing schedules,
organizing meetings, and handling correspondence.
* Assist with corporate transactions and M&A documentation,
including drafting and preparing signature pages and related
documents.
* Conduct Secretary of State searches, lien searches, and
bankruptcy searches to support legal filings and due diligence
processes.
* Facilitate the formation of entities, ensuring compliance with
state regulations and accurate documentation.
* Prepare and file documents with the Delaware Division of
Corporations and other jurisdictions as required.
* Maintain organized files and databases, ensuring all documents
are up to date and easily accessible.
* Collaborate with attorneys and clients to ensure timely
execution of legal documents and filings.
* Perform general administrative tasks, including data entry,
file management, and invoice processing.
Qualifications:
* Bachelor’s degree or equivalent experience in a legal or
administrative field.
* Minimum 5+ years of experience as a legal administrative
assistant, preferably in a Corporate Transactions or M&A
practice.
* Strong understanding of corporate law and familiarity with
relevant state and federal regulations.
* Proficient in conducting Secretary of State searches, lien
searches, and entity formations.
* Excellent organizational skills and attention to detail.
* Ability to manage multiple tasks and prioritize effectively in
a fast-paced environment.
* Proficient in Microsoft Office Suite (Word, Excel, PowerPoint)
and legal management software.
