Overview

A highly respected law firm is seeking a Tax Attorney with a
minimum of 3 years of experience to join its sophisticated Tax,
Trusts & Estates Department in Los Angeles. This position offers
the opportunity to work on complex transactional tax matters
involving privately held businesses, high-net-worth individuals,
family offices, and emerging companies.

The ideal candidate will have experience advising clients on the
tax implications of mergers and acquisitions, business
restructurings, and other strategic transactions while
collaborating with attorneys and clients to develop practical,
tax-efficient solutions. This is a hybrid position requiring four
days per week in the office and one day per week remote.

Key Responsibilities

* Advise privately held businesses, partnerships, S corporations,
and C corporations on the federal, state, and local tax aspects
of mergers, acquisitions, dispositions, joint ventures,
financings, restructurings, and other strategic transactions.
* Draft, review, and negotiate tax-related provisions in
transaction documents, including tax representations and
warranties, indemnification provisions, purchase price
allocations, partnership allocation provisions, distribution
waterfalls, tax distribution provisions, and other transactional
tax provisions.
* Counsel clients on pre-transaction restructuring strategies,
including F reorganizations, corporate and partnership
restructurings, asset contributions and distributions, debt
restructurings, and related tax planning.
* Provide transactional tax planning and business structuring
advice to high-net-worth and ultra-high-net-worth individuals,
family offices, privately held businesses, and emerging
companies.
* Advise clients on Qualified Small Business Stock (QSBS),
Section 1031 exchanges, charitable planning, state and local tax
issues, and other sophisticated tax planning strategies.
* Collaborate with attorneys across multiple practice groups to
structure transactions and deliver practical, business-oriented
legal solutions.
* Build and maintain strong client relationships while delivering
exceptional client service.

Qualifications

* J.D. from an accredited law school.
* Active California Bar admission, or eligibility to waive into
California.
* Minimum 3 years of transactional tax experience in a law firm.
* Strong knowledge of federal, state, and local tax law affecting
business transactions.
* Experience advising privately held businesses, partnerships, S
corporations, and C corporations.
* Experience with mergers and acquisitions, business
restructurings, and transactional tax planning.
* Excellent drafting, analytical, negotiation, and communication
skills.
* Ability to manage multiple sophisticated matters while working
collaboratively in a team-oriented environment.

Preferred Qualifications

* Experience representing high-net-worth and ultra-high-net-worth
individuals and family offices.
* Knowledge of QSBS planning, Section 1031 exchanges, charitable
planning, and business succession planning.
* Experience drafting and negotiating complex tax provisions in
transactional documents.
* Strong understanding of partnership taxation, corporate
taxation, and pass-through entities.
* LL.M. in Taxation is a plus but not required.
